June 18, 2026
Call to Order
The Convention was called to order at 6:45 PM.
Credentialing of Delegates
Chair Pro Tempore Josh Umbaugh appointed Michael Lopez as an Ad Hoc Credentials Committee. Mr. Lopez reported that delegate credentials had been verified prior to the call to order.
Roll Call of Prospective Delegates and Eligibility Affirmation

Amendment Proposal 1
To update the Constitution to provide for election of the Executive Committee by the County Central Committee and establish governance procedures during periods of ballot access contingency.
Proposed Amendment
INSERT after Article I and renumber:
Article II – Central Committee
Section 1. The Controlling Committee of the Party shall be called the County Central Committee (“the Central Committee”).
Section 2. The Central Committee shall meet within fifteen (15) days of certification of election of its members by the Ohio Secretary of State. At this organizational meeting, the Central Committee:
A. Shall elect a Chair, a Secretary, and such additional officers as it deems necessary to conduct its business;
B. Shall elect the County Executive Committee from eligible Voting Members;
C. May fill vacancies in its own membership from eligible Voting Members residing in the affected precinct or ward;
D. May establish any necessary operating procedures;
E. May conduct any other organizational business properly brought before it; and
F. Shall delegate to the Executive Committee the authority necessary to conduct the day-to-day business of the Party.
Section 3. The Central Committee may meet at such other times as it deems necessary.
Article III – Ballot Access Contingency
Section 1. Trigger.
In any election cycle in which the Party lacks recognized ballot access under Ohio law sufficient to elect members of the County Central Committee through the May primary election, the provisions of this Article shall apply.
Section 2. Temporary Governing Authority.
During such period, the powers and authority of the County Central Committee shall be exercised by the delegates assembled at a duly called County Convention.
Section 3. Executive Committee Election.
During such period, the County Executive Committee shall be elected by Convention delegates.
Section 4. Temporary Controlling Committee.
During such period, the County Executive Committee shall serve as the Controlling Committee of the Party for purposes of governance under this Constitution.
REMOVE from existing Article II:
«“The Controlling Committee of the Party shall be called the County Executive Committee (“the Executive Committee”).”»
and renumber accordingly.
AMEND:
«“Additional Executive Committee Members may be added during normal elections as decided by the Voting Members.”»
by replacing “Voting Members” with “electing body.”
AMEND:
«“Executive Committee elections shall normally be held during a regular County Convention. Special elections to fill vacancies may be held, as necessary.”»
by replacing the entire text with:
«“The Executive Committee shall be elected by the County Central Committee, or during periods of Ballot Access Contingency, by Convention delegates acting as the controlling authority under this Constitution. The electing body may hold special elections to fill vacancies, as necessary.”»
Adoption of Amendment
Michael Lopez moved to adopt Amendment Proposal 1. Ben Schultheis seconded.

Officer Reports
Chair’s Report
Chair Umbaugh reported on the success of the Dayton Pride booth, with Lt Governor candidate James Mills. Discussion included contacts made through the event, including several prospective supporters from Preble County. The political quiz was well received, and the booth compared favorably with other political organizations in attendance.
Treasurer’s Report
Treasurer Hendrix reported the following account balances:

- Savings: $671.66
- Stripe: $4.42
Total Assets: $919.65
The Treasurer reported that the Party experienced fraudulent donation attempts through its Stripe donation page, commonly known as “card testing,” in which stolen credit card numbers are tested against a payment processor. Approximately 2,000 attempts were made. One transaction for $0.62 was successfully processed and subsequently refunded. Because the transaction fee was not refunded, the incident resulted in a net cost of $0.33 to the Party.
The Treasurer changed the donation page URL, which resolved the issue.
Secretary’s Report
Secretary Lopez reported increased engagement on the Party’s Facebook page, particularly through promotion of Libertarian candidates.
The Secretary discussed the possibility of utilizing the Libertarian Party of Ohio’s bulk mailing permit to distribute low-cost postcards purchased from Tom Pruss.
Bruce Earnhart suggested increasing mailer engagement by asking supporters questions such as why they identify as Libertarians and what issues are most important to them.
There are no minutes from March or April because the Committee failed to reach quorum. The Executive Committee on April 16 approved by emergency electronic vote a motion to authorize an expenditure of $95 for the purchase of yard signs from Tom Pruss, consisting of ten (10) 16”×24” signs at $7 each and one (1) 32”×48” sign at $25, with Mr. Umbaugh, Mr. Lopez, and Mrs. Umbaugh voting in the affirmative and Mr. Hendrix and Mr. Schultheies not voting, and a motion to call a county convention on June 18, with Mr. Lopez, Mrs. Umbaugh, and Mr. Umbaugh voting in the affirmative and Mr. Hendrix and Mr. Schultheis not voting.
The Secretary moved adoption of the minutes of the previous meeting. Ben Schultheis seconded.
Vote: Unanimous voice vote. Motion adopted.

The A. Philip Randolph Institute will host its annual Chili Cook-Off Fundraiser on March 28 from 5:30 PM to 8:30 PM at 313 S Jefferson St, Dayton. Josh Umbaugh has been invited to speak. Tickets are $20 per person; a table (seats eight) is $130.
